1. Acceptance of Terms

These Terms and Conditions ("Terms") govern your access to and use of the Planytera web application, websites (including planytera.com), mobile interfaces, and related services (collectively, the "Service") provided by Digital Products Direct LLC, a Georgia limited liability company doing business as Planytera ("Planytera," "we," "us," or "our"). By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

Minimum age. You must be at least 16 years of age to create a Planytera account and use the Service. This age threshold reflects (a) the default digital consent age under the EU General Data Protection Regulation (GDPR), (b) the use of generative AI models that may produce content unsuitable for younger audiences, and (c) the location-sharing and collaborator features included in the Service. Users between 16 and 18 (or the age of majority in their jurisdiction) must have permission from a parent or legal guardian, who agrees to these Terms on the minor's behalf. We do not knowingly permit anyone under 16 to register; if we learn that an underage user has created an account, we will terminate it and delete associated data.

2. The Service

Planytera is a software-as-a-service (SaaS) platform that collects user-provided preferences, interests, dietary needs, audience composition, and travel parameters to generate curated, AI-assisted travel itineraries, including suggested events, restaurants, activities, and points of interest. The Service may include map and location features, sharing and collaboration features, trip history, notes, photos, post-trip journaling, downloadable PDF trip recaps, installable Progressive Web App (PWA) and native-shell experiences with offline access and queued edits, multi-language interfaces, and optional paid features including individual, Business, and Agency tiers.

AI-Generated Content. Itineraries, recommendations, and suggested venues are generated using artificial intelligence and third-party data sources, and are provided "as is" with no warranty of accuracy, completeness, currency, or fitness for any purpose. AI output frequently contains errors, including venues that do not exist ("hallucinated" results), permanently closed restaurants, wrong addresses, outdated or incorrect opening hours, inaccurate prices, and mischaracterized accessibility, age, or dietary suitability. AI output is provided for inspiration and planning only. You are solely responsible for independently verifying hours, prices, addresses, availability, accessibility, safety conditions, and suitability with the venue (and with qualified professionals where applicable) before traveling, booking, or relying on the information.

No Travel Agency Services. Planytera is not a travel agent, tour operator, booking agent, or seller of travel. We do not sell, book, reserve, ticket, or guarantee any travel product or experience. Any transactions you enter into with hotels, restaurants, venues, transportation providers, or other third parties are solely between you and that third party.

3. Accounts and Security

  • You must provide accurate and complete information when creating an account.
  • You are responsible for safeguarding your password and for all activity under your account.
  • You must promptly notify us of any unauthorized use of your account.
  • You may enable multi-factor authentication (MFA) and register passkeys / biometric (WebAuthn) credentials; we strongly recommend doing so.
  • Passwords are checked against the Have I Been Pwned (HIBP) breach database at signup and at password change; passwords known to be compromised are rejected.
  • Self-service account deletion. You may permanently delete your account at any time from Settings → Danger zone → Delete account. Deletion removes your authentication record, profile, trips, preferences, collaborator entries, votes, device tokens, and email preferences. Some records may be retained in backups or as required by law (see Privacy Policy § 7).
  • Anti-abuse retention after deletion. When you delete your account, we retain a one-way cryptographic hash (SHA-256) of your email address and an optional device fingerprint hash. We use these hashes solely to detect re-creation of a previously deleted account. If you create a new account that matches a prior deletion, the new account is still permitted, but the free Observer tier and any associated free-tier perks will not be granted again. The plaintext email is not retained for this purpose.
  • Free Observer tier on signup. First-time accounts are automatically granted the free Observer subscription. The grant is one-time per person; deleting and re-creating an account does not reset eligibility (see anti-abuse retention above).
  • We may suspend or terminate accounts that we believe, in our sole discretion, violate these Terms or pose a risk to the Service or other users.

4. User Content and License

You retain ownership of content you submit to the Service, including notes, photos, trip details, preferences, and shared trip links ("User Content"). By submitting User Content, you grant Planytera a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, modify (for formatting and processing), transmit, and display your User Content solely to operate, provide, secure, and improve the Service, including generating itineraries, enabling sharing features you initiate, and creating de-identified, aggregated analytics.

You represent and warrant that you have all rights necessary to submit your User Content and that it does not violate any law or third-party right.

5. Acceptable Use

Your use of the Service is also governed by our Acceptable Use Policy, which is incorporated by reference into these Terms.

6. Subscriptions, Paid Features, and Billing

  • Certain features may require a paid subscription or a one-time purchase. Planytera offers consumer tiers (including the free Observer tier) and commercial Business and Agency tiers intended for organizations planning trips on behalf of clients or employees. Pricing, billing cycles, seat counts, and feature inclusions are disclosed at the point of purchase.
  • Business and Agency tiers. The account owner of a Business or Agency workspace is responsible for the conduct of all invited members and collaborators, for ensuring each member has a lawful basis to use the Service, and for obtaining any necessary consents from end travelers whose information is entered into the workspace.
  • Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Web purchases on planytera.com are sold by Paddle.com Market Ltd ("Paddle") as the merchant and seller of record. Paddle handles payment processing, invoicing, sales tax, and refund processing for web transactions. Purchases made inside the iOS app or Android app are billed directly by Apple or Google under their respective terms. By providing payment information, you authorize the applicable processor to charge the applicable fees and any taxes.
  • Subscriptions automatically renew on your next renewal date unless canceled before the end of the current billing period. You may cancel at any time through your account settings.
  • Subscriptions are a digital service that renews automatically. For web purchases processed by Paddle, your subscription renews at the then-current price each billing period until you cancel, and payments are generally non-refundable once a billing period begins. For purchases made through the Apple App Store or Google Play, billing and renewal are controlled by Apple or Google, and refunds for those purchases are handled exclusively by Apple or Google under their own terms; we cannot issue them. You can cancel at any time (in your account settings for web purchases, or through your Apple or Google account for app purchases) and keep access until the end of the current period. Statutory cancellation and withdrawal rights may apply regardless of channel. See our Refund Policy for the full details, including how to request a refund on each platform. Promotional offers may have specific terms disclosed at the time of the offer.
  • We may change prices on prospective renewals with reasonable advance notice, effective on your next renewal date.

6a. Referral Program

How it works. Planytera's referral program lets you invite others to try the Service. When you sign in, you can generate a unique referral code and share it. If someone signs up using your code and starts any paid subscription for the first time, we grant you a one-time in-app credit reward (currently one AI generation credit and one activity-swap credit). Credit amounts and reward structure may change at any time.

Eligibility. To earn a referral reward: you must have an active Planytera account in good standing; the person you refer must be a new user who has never held a paid Planytera subscription; you may not redeem your own referral code; and codes may only be redeemed once per referred user.

Credits. Referral credits are in-app usage credits only. They have no cash value, are not transferable to any other person or account, are not redeemable for cash or any other payment instrument, and are not usable outside the Service. Credits are non-expiring so long as your account remains active. Credits may be forfeited if your account is suspended or terminated for violation of these Terms.

Program changes and termination. We may modify, suspend, or terminate the referral program at any time, including changing the reward amounts, eligibility requirements, or the program's existence, with or without notice. Outstanding credits already granted to your account before a program change will be honored unless the change is required by law, platform policy, or abuse prevention.

Abuse and clawback. We reserve the right to revoke credits earned through fraudulent, automated, or abusive activity, including creating accounts for the sole purpose of generating referral rewards, referring accounts you control or are affiliated with, or any other manipulation of the program. Accounts found to abuse the program may be suspended.

No endorsement obligation. Participation in the referral program is voluntary. We do not require you to make any particular claim about the Service when sharing your code.

6b. Installable App and Offline Use

Planytera is available as an installable Progressive Web App (PWA) and through native application shells. When installed, the Service caches itineraries, preferences, map tiles, and related assets on your device so you can view and edit trips while offline. Edits made offline are queued locally and synchronized when connectivity returns; until synchronization completes, changes are not visible to collaborators and are not protected by our server-side backups. You are responsible for the security of any device on which the Service is installed.

7. Third-Party Services and Content

The Service integrates with and links to third-party services, including but not limited to Mapbox, Supabase (Lovable Cloud), AI model providers, identity providers (e.g., Google, Apple), analytics, and venue data sources. Your use of those third-party services is governed by their own terms and privacy policies. We are not responsible for the availability, accuracy, content, or practices of any third-party service.

8. Travel Risk and Safety Disclaimer

You travel at your own risk. Travel involves inherent risks, including weather, political instability, crime, illness, injury, transportation disruption, and other hazards. Travel advisory information surfaced in the Service is informational only and may be incomplete or out of date. Always consult official government travel advisories (such as those issued by the U.S. Department of State or your home country's equivalent) before traveling.

Audience and age filters. Filters such as "Kid-friendly (10 & under)," "Family (10+)," and adult-only "Adults" override are tools to help shape suggestions, not guarantees. Suitability of any venue or activity for a specific child, dietary need, accessibility need, or audience is your responsibility to verify.

No medical, legal, financial, or safety-critical advice.Recommendations and information surfaced through the Service, including AI-generated itineraries, do not constitute professional advice and must not be used to make medical, legal, financial, insurance, tax, or safety-critical decisions, including decisions about medications, allergies, accessibility needs, emergency response, evacuation, navigation in hazardous environments, or any life-or-death situation. Always consult a qualified professional before relying on Service content for any decision affecting health, safety, finances, or legal matters.

9. Intellectual Property; Restrictions on AI Outputs

The Service, including its software, design, branding ("Planytera"), text, graphics, and compilations of data, is owned by Planytera or its licensors and is protected by intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Service solely for your personal, non-commercial use in accordance with these Terms.

You may not copy, modify, reverse engineer, decompile, scrape, frame, mirror, bulk export, or create derivative works of the Service except as expressly permitted by law. You may not resell, sublicense, white-label, or commercially redistribute the Service or its AI-generated outputs without a written agreement with Planytera. You may not use the Service's outputs, prompts, embeddings, or any other data accessed through the Service to train, fine-tune, evaluate, or otherwise develop any machine-learning or generative-AI model, dataset, or competing service.

10. Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant Planytera a perpetual, irrevocable, worldwide, royalty-free license to use them without restriction or compensation.

11. Termination

You may terminate your account at any time through account settings. We may suspend or terminate your access at any time for any reason, including suspected violation of these Terms, with or without notice. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive (including ownership, disclaimers, indemnity, limitations of liability, and dispute resolution) will survive termination.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED OPERATION. WITHOUT LIMITING THE FOREGOING, PLANYTERA DOES NOT WARRANT THAT ITINERARIES, VENUE INFORMATION, PRICES, HOURS, ROUTES, MAPS, ADVISORY DATA, OR AI-GENERATED OUTPUTS WILL BE ACCURATE, COMPLETE, CURRENT, OR APPROPRIATE FOR YOUR PURPOSES.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PLANYTERA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, TRAVEL EXPENSES, OR SUBSTITUTE GOODS OR SERVICES, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO PLANYTERA IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM AND (B) ONE HUNDRED U.S. DOLLARS ($100). Some jurisdictions do not allow certain limitations; in those jurisdictions, our liability is limited to the maximum extent permitted by law.

14. Indemnification

You agree to defend, indemnify, and hold harmless Planytera and its affiliates, officers, directors, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your User Content, (b) your use of the Service, (c) your violation of these Terms, or (d) your violation of any law or third-party right.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Georgia, United States, without regard to conflict-of-laws principles. You consent to the exclusive jurisdiction and venue of the state and federal courts located in Georgia for any dispute arising out of or relating to these Terms or the Service, unless applicable law requires otherwise.

16. Changes to These Terms

We may update these Terms from time to time. If changes are material, we will provide notice (e.g., via email or in-app notice) before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
